The acquisition, access, use, or disclosure of protected health information in a manner not permitted under the HIPAA Privacy Rule, which compromises the security or privacy of the protected health information.

Indemnification is the concept through which the party at fault makes the other party whole; in other words, the party at fault will pay the costs, expenses, fines, and losses that the other party incurs.
